1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ConqueDemea Media ("Company," "we," "our," or "us") regarding your use of our website and event management services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

2. Description of Services

ConqueDemea Media provides professional event management services including but not limited to:

  • Corporate event planning and coordination
  • Wedding planning and management
  • Special event coordination
  • Event consultation services
  • Vendor management and coordination
  • Event design and styling services

Specific services will be detailed in individual service agreements or contracts.

3. Service Agreements and Contracts

3.1 Service Contracts

All event management services are subject to separate written contracts that will include:

  • Detailed scope of services
  • Timeline and deliverables
  • Pricing and payment terms
  • Cancellation and refund policies
  • Force majeure provisions

3.2 Contract Precedence

In the event of any conflict between these Terms and a specific service contract, the provisions of the service contract shall take precedence.

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information about your event requirements
  • Make timely decisions and provide approvals as requested
  • Meet payment obligations according to agreed terms
  • Obtain necessary permits, licenses, and insurance as required
  • Communicate changes or concerns promptly
  • Treat our staff and vendors with respect and professionalism
  • Comply with venue rules and regulations
  • Provide safe working conditions for our team and vendors

5. Payment Terms

5.1 Payment Schedule

Payment terms will be specified in individual service contracts but typically include:

  • Initial deposit upon contract signing
  • Progress payments based on milestones
  • Final payment before event execution

5.2 Late Payments

Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.

5.3 Expenses

Client is responsible for all third-party vendor costs, venue fees, and other event-related expenses as outlined in the service contract.

6. Cancellation and Refund Policy

6.1 Client Cancellation

Cancellation policies vary by service type and will be detailed in your service contract. Generally:

  • Cancellations more than 6 months before the event: 50% refund of payments made
  • Cancellations 3-6 months before the event: 25% refund of payments made
  • Cancellations less than 3 months before the event: No refund

6.2 Company Cancellation

We reserve the right to cancel services in cases of non-payment, breach of contract, or circumstances beyond our control. In such cases, we will refund prepaid fees minus costs already incurred.

7. Force Majeure

Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to:

  • Natural disasters and severe weather
  • Pandemics and public health emergencies
  • Government orders and regulations
  • Labor strikes and transportation disruptions
  • Venue closures or unavailability
  • Acts of terrorism or civil unrest

In such events, we will work with you to reschedule or modify services as appropriate.

8. Limitation of Liability

8.1 Service Limitations

Our liability is limited to the total amount paid for our services. We are not responsible for:

  • Actions or failures of third-party vendors
  • Venue-related issues beyond our control
  • Guest behavior or safety
  • Weather-related complications
  • Technology failures or equipment malfunctions

8.2 Consequential Damages

We shall not be liable for any indirect, incidental, consequential, or punitive damages arising from our services.

9. Insurance and Indemnification

9.1 Our Insurance

We maintain professional liability and general liability insurance appropriate for our services.

9.2 Client Insurance

Clients are strongly encouraged to obtain event insurance and may be required to provide proof of insurance for certain events.

9.3 Indemnification

Client agrees to indemnify and hold harmless ConqueDemea Media from claims arising from the event, guest behavior, or client's breach of these Terms.

10. Intellectual Property

10.1 Our Property

All event designs, concepts, proposals, and creative materials developed by us remain our intellectual property unless otherwise agreed in writing.

10.2 Client Property

We respect your intellectual property rights and will not use your proprietary information without permission.

10.3 Photography and Media

We may photograph events for portfolio and marketing purposes unless specifically prohibited in writing.

11. Website Terms

11.1 Acceptable Use

When using our website, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Use the site for commercial purposes without permission

11.2 Content Accuracy

We strive to keep website information accurate but make no warranties about completeness or timeliness of content.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to our Privacy Policy.

13. Dispute Resolution

13.1 Informal Resolution

We encourage resolving disputes through direct communication. Please contact us first to discuss any concerns.

13.2 Mediation

If informal resolution fails, disputes may be submitted to mediation before pursuing legal action.

13.3 Governing Law

These Terms are governed by the laws of Ontario, Canada, and any disputes will be resolved in the courts of Ontario.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms. For existing contracts, changes will apply only to future services unless otherwise agreed.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any specific service contracts and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein.
